Terms of Service

Acceptance of Terms
By accessing or using any website, product, API, SDK, or service provided by Arc Labs Private Limited (“Arc Labs”, “we”, “our”, or “us”), collectively referred to as the “Services”, you agree to be bound by these Terms of Service (“Terms”). If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, do not access or use our Services.
Definitions
Open-Source License
Our open-source software — including Recall, the TypeScript SDK (@arc-labs/recall), the Python SDK, and related tools — is licensed under the Apache License, Version 2.0. You are free to:
- Use, copy, modify, and distribute the software for any purpose, including commercial use
- Create derivative works
- Sublicense the software
Subject to the conditions of the Apache 2.0 license, including attribution requirements and inclusion of the license notice. The full license text is available at github.com/arc-labs/recall.
The Apache 2.0 license does not grant rights to use Arc Labs trademarks, logos, or brand names.
Cloud Service Terms
The following terms apply specifically to users of the managed Recall cloud service:
- We provide the Cloud Service on a subscription basis with defined tiers and resource limits
- We will use commercially reasonable efforts to maintain 99.9% uptime for the API
- We reserve the right to throttle or suspend access if usage exceeds plan limits or poses risk to infrastructure stability
- Scheduled maintenance windows will be communicated at least 48 hours in advance
- We maintain backups and disaster recovery procedures, but recommend you maintain independent backups of critical data
Accounts & Access
To access certain features, you must create an account. You agree to:
- Provide accurate, current, and complete registration information
- Maintain the security of your account credentials and API keys
- Promptly notify us of any unauthorized access at security@arc-labs.ai
- Accept responsibility for all activities that occur under your account
API keys are bearer tokens. Treat them as passwords. Rotate them regularly. Never commit them to version control.
Usage & Rate Limits
The Cloud Service enforces rate limits and usage quotas based on your subscription tier. Current limits are documented at docs.arc-labs.ai. We reserve the right to modify rate limits with 30 days' notice.
Payment & Billing
- Cloud Service subscriptions are billed monthly or annually as selected
- Payments are processed by Stripe. We do not store credit card details
- Usage-based charges (if applicable) are calculated and billed at the end of each billing period
- Failed payments will result in a 7-day grace period before service suspension
- Refunds are available within 14 days of initial purchase for annual plans
- All prices are in USD unless otherwise stated
Data Ownership
You own your data. We claim no ownership rights over your Customer Data. You retain all rights, title, and interest in your memories, entities, embeddings, and any other data you store through our Services.
You grant us a limited license to host, store, process, and transmit your Customer Data solely to provide and improve the Services. This license terminates when you delete your data or close your account.
We do not use your Customer Data to train AI models, for marketing purposes, or for any purpose other than providing the Services.
Intellectual Property
The open-source components of our Services are licensed under Apache 2.0 as described above. All other aspects of the Services — including but not limited to proprietary code, the cloud platform, design, documentation beyond what is Apache-licensed, and branding — are the exclusive property of Arc Labs.
“Arc Labs”, “Recall”, “Plan”, “Reason”, and associated logos are trademarks of Arc Labs. Use of our trademarks requires prior written permission.
Acceptable Use
You agree not to:
- Use the Services in violation of any applicable law or regulation
- Attempt to gain unauthorized access to any part of the Services or other users' accounts
- Interfere with or disrupt the integrity, performance, or availability of the Services
- Circumvent rate limits, authentication, or access controls
- Use the Services to store or transmit malicious code, or content that infringes third-party rights
- Resell or redistribute the Cloud Service without written authorization
- Reverse engineer proprietary components of the Cloud Service (open-source components are excluded from this restriction)
Service Level
For paid Cloud Service tiers, we target 99.9% monthly API uptime, measured as the percentage of minutes in a calendar month during which the Recall API is available for authenticated requests.
Planned maintenance, force majeure events, and issues caused by your code or third-party services are excluded from uptime calculations. Service credits for SLA breaches are described in your subscription agreement.

Limitation of Liability
Indemnification
You agree to indemnify and hold harmless Arc Labs, its officers, directors, and employees from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Services, violation of these Terms, or infringement of any third-party rights.
Termination
You may stop using the Services at any time. For Cloud Service subscribers, you may cancel your subscription through the dashboard or by contacting support.
We may suspend or terminate your access to the Services if you violate these Terms, fail to pay applicable fees, or if we reasonably believe your use poses a risk to the Services or other users.
Upon termination, your right to use the Services ceases. Your data will be retained for 30 days to allow export, after which it will be permanently deleted. Open-source software licenses survive termination.
Governing Law
These Terms are governed by the laws of India. Any disputes arising from these Terms or the Services shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India.
Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email (for registered users) or a prominent notice on our website at least 30 days before taking effect. Continued use of the Services after the effective date constitutes acceptance of the revised Terms.
